Simple Tax Regime

Individual tax

  • Standard personal income tax rate remains at 12%.
  • 9% preferential rate continues for individuals employed by HTP residents and certain tech-based entrepreneurs.
  • 15% rate applies to specific services like notary activities.
  • Tax base reductions apply for dependents and low-income brackets, with updated thresholds linked to inflation-indexed BYN values.

Corporate tax

  • Standard corporate income tax: 18%.
  • Dividends taxed at 12%.
  • Capital gains from sale of Belarusian corporate shares: 9%.
  • Reduced 10% rate applies to laser optics and high-tech manufacturers.
  • Free Economic Zones (FEZs) offer:
    • 0% profit tax for 5 years;
    • Thereafter, a 50% reduction of standard rate for next 5 years.
    • Minimum investment threshold: EUR 1 million.
    • Businesses in towns with population under 50,000 or in rural areas are eligible for profit tax exemptions for up to 7 years, with conditions for import-substituting or export-oriented output.

Belarus Companies

Limited Liability Company

The most prevalent entity for SMEs, an LLC in Belarus offers a flexible incorporation process. Capital is divided into shares as per the charter, and liability is limited to contributions.

Joint Stock Company

A JSC can be open or closed, and is suitable for larger investments. Shareholders’ liabilities are restricted to their share value, and shares of open JSCs can be publicly traded.

Closed Joint Stock Company

This variant restricts share transfers and is suitable for businesses wanting tighter ownership control. Approval from other shareholders is required for share sale.

General Partnership

This form is founded by two or more partners sharing profit and full liability. No minimum capital is required, and all partners actively manage the enterprise.

Limited Partnership

It combines general partners (with full liability and management rights) and limited partners (with liability limited to contributions). It is legally distinct from its members.

Individual entrepreneur

Ideal for sole proprietors, this form allows individuals to operate a business without forming a legal entity. It’s limited to employing three workers and entails full personal liability.
