SIMPLE TAX REGIME​

Somaliland operates a relatively simple tax system that is gradually evolving to enhance clarity and investor confidence. The Inland Revenue Department is responsible for tax collection, and digital systems are being introduced to improve compliance and efficiency.

TAX SLABS :

Taxation in Somaliland includes corporate income tax, VAT, personal income tax, withholding tax, and local licensing fees. Rates are designed to be competitive, particularly for small and medium-sized enterprises.

INCOME TAX RATES :

Employees are subject to a 6% flat tax on gross income, withheld and remitted by the employer. The system aims to maintain a low burden on labor income while ensuring simplicity in compliance.

UNIFIED INCOME TAX RATES :

Income from employment, consulting, and professional services is taxed uniformly under the 6% bracket. There are no significant deductions or tax credits available, keeping the system straightforward for both individuals and employers.

CORPORATE TAX RATES

  • Resident companies are taxed at a 10% rate on net profits.
  • Non-resident companies and foreign branches are taxed at a higher rate of 16.3%.
  • Capital gains are also taxed at 10%.

These rates position Somaliland as a cost-competitive location for regional business operations.

SOMALILAND COMPANIES

  • Private Company (Limited Liability Company)

Ideal for SMEs and family businesses, this structure allows 1–50 shareholders with limited liability protection. Commonly used for partnerships, joint ventures, and foreign-owned enterprises.

  • Sole Proprietorship

A business owned and run by a single individual. While easy to establish, the owner assumes full personal liability for business debts and obligations.

  • Partnership
    Formed by two or more individuals or entities. Depending on the structure (general or limited), partners may have full or limited liability. A partnership agreement and business name registration are required.
  • Overseas Company (Branch Office)

Foreign companies can establish a presence by registering a branch in Somaliland. While operationally local, legal liability remains with the parent company. Annual filings and local compliance are mandatory.

  • Single Shareholder Company

Allows a single person or entity to register a limited liability company. This model combines simplicity with asset protection and is suited for independent entrepreneurs or subsidiaries.
