SIMPLE TAX REGIME

· Corporate Tax

Resident companies are taxed on worldwide income, non-residents only on Slovenian income. Corporate tax is levied at a flat rate of 19%, with generous allowances for R&D, digital transition, and green investments.

· Local Income Taxes

There are no local or municipal income taxes on corporate or individual income, though property and utility levies may apply.

Slovenia Companies

The most common forms of business entities in Slovenia include the following:

· Limited Liability Company (Družba z omejenoodgovornostjo – d.o.o.)

Most frequently used for SMEs. Requires a minimum capital of EUR 7,500. Shareholders’ liability is limited to their contributions. Can be founded by a single or multiple individuals/legal persons.

· Joint Stock Company (Delniškadružba – d.d.)

Used by larger businesses or publicly traded companies. Requires a minimum share capital of EUR 25,000. Subject to more complex governance and transparency standards.

· Branch Office

A foreign company may establish a branch to operate commercially in Slovenia. The parent company remains fully liable.

· Representative Office

A liaison office used for non-commercial activities like market research or promotional work. Not allowed to generate revenue.

· Partnerships

General and limited partnerships are available under Slovenian law but are less commonly used. Liability depends on the partnership type.
